Welcome to UniFlow (the "Service"). UniFlow is a service operated by Shanghai Logical Origin Intelligent Technology Co., Ltd (the "Company", "we", "us", or "our").

By accessing or using our Service, you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, please do not use our Service.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

2. Description of Service

UniFlow is a learning management tool designed for students. The main features include but are not limited to:

• Canvas LMS course content synchronization and management
• Artificial Intelligence (AI) assisted learning features
• Assignment and deadline tracking
• Course material library management
• Real-time voice transcription
• Smart calendar and schedule planning

We may add new features or modify existing features from time to time. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without notice.

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you need to register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account password
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your login information. If you suspect any security breach of your account, please contact us immediately.

3.3 Account Termination

You may terminate your account at any time by contacting our support team. We reserve the right to suspend or terminate your account for any reason, including violation of these Terms. Upon termination of your account, your right to use the Service will cease immediately.

4. Subscriptions and Payments

4.1 Subscription Plans

The Service offers both free and paid subscription plans. Free plans provide limited features and usage quotas. Paid plans offer additional features and higher usage quotas.

4.2 Payment Processing

Our payments are processed by Paddle (paddle.com) as our Merchant of Record. When you purchase a paid subscription, you are purchasing directly from Paddle, but the product is licensed to you by us. Paddle handles payment processing, taxes, and billing matters.

4.3 Automatic Renewal

Paid subscriptions automatically renew unless you cancel before the end of the current billing period. You may cancel your subscription at any time through your account settings or by contacting our support team. After cancellation, you will continue to have access until the end of the current billing period.

4.4 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will take effect at the start of your next billing cycle. We will notify you of any price changes via email or in-service notification before they take effect.

4.5 Refunds

5. Acceptable Use

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for any illegal or unauthorized purpose
• Use the Service for academic dishonesty, including but not limited to plagiarism, cheating, or submitting others' work as your own
• Infringe or misappropriate the intellectual property rights of others
• Upload or transmit any viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the normal operation of the Service
• Use automated means (such as bots, crawlers) to access the Service without our express permission
• Resell, sublicense, or otherwise commercially exploit the Service without our written consent
• Circumvent or attempt to circumvent any security measures or access restrictions we implement

6. User Content

6.1 Your Content

You retain all rights to any content you upload, submit, or create through the Service ("User Content"). The Service and its original content (excluding User Content), features, and design are the exclusive property of Shanghai Logical Origin Intelligent Technology Co., Ltd and its licensors, protected by copyright, trademark, patent, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

7.3 Trademarks

The UniFlow name, logo, and other trademarks, service marks, graphics, and logos are trademarks or registered trademarks of Shanghai Logical Origin Intelligent Technology Co., Ltd. You may not use these trademarks without our prior written consent.

8. Third-Party Services

The Service may contain links to, or integrate with, third-party websites, services, or resources. We are not responsible for the content, privacy policies, or practices of any third-party websites, services, or resources. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of or reliance on any such third-party websites, services, or resources.

These third-party services include but are not limited to: Canvas LMS, payment processing services (Paddle), AI service providers (such as OpenAI, Google).

9. AI Service Terms

The AI features in the Service are powered by third-party AI providers. When using AI features, please note:

• AI-generated content is for reference only and may not be accurate or complete
• You should not rely solely on AI-generated content for important decisions
• You are responsible for verifying and reviewing any AI-generated content
• When using AI features for academic work, please comply with your institution's academic integrity policies
• The availability of AI features may be affected by third-party AI provider policies

10. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

11. Limitation of Liability

To the maximum extent permitted by law, Shanghai Logical Origin Intelligent Technology Co., Ltd and its directors, employees, partners, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, service interruption, computer damage or system failure, or the cost of substitute services, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Service exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Shanghai Logical Origin Intelligent Technology Co., Ltd and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from or related to: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party rights.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, shall first be resolved through amicable negotiation. If negotiation fails, either party may submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its arbitration rules in effect at the time of the application. The place of arbitration shall be Shanghai, and the language of arbitration shall be Chinese. The arbitration award shall be final and binding on both parties.

14. General Terms

14.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior or contemporaneous agreements, communications, and proposals between you and us.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
